To cover the full scope of restaurant management solutions, Grippie offers various add-on features and services that restaurateurs can subscribe to via online payment. These Terms and Conditions govern your use of our platform and associated services.

1. Introduction

These Terms of Service (“Terms”) outline your legal rights and responsibilities regarding your access to and use of the Grippie website (www.gogrippie.com) and any related mobile or web-based applications (collectively, the “Platform”) operated by Grippie Technologies Private Limited (“Grippie,” “we,” or “us”).

By accessing or using the Platform, you agree to be bound by these Terms, along with our Privacy Policy and any additional agreements or policies provided. If you do not agree to these Terms, please discontinue use of the Platform immediately.

2. Definitions

• “Services” refer to the suite of business applications and tools offered by Grippie, including but not limited to Feedback Management, Table Management, Queue Management, Customer Loyalty, Digital Ordering, and Reporting Dashboards.
• “Content” refers to all visual, textual, audio, and software materials made available by Grippie in connection with the Services. This includes user interfaces, functionality, code, aggregated data, analytics, and design components, excluding User Content.
• “User Content” or “Your Content” means any data, information, materials, or content you upload, input, or share through the Platform including, but not limited to, reviews, feedback, menu data, customer details, seating information, transaction data, and multimedia.

3. General Rules of Use

Grippie grants you a limited, non-exclusive, non-transferable license to use the Services solely for your own business purposes in accordance with these Terms.

You agree:

• Not to use the Platform for any unlawful or unauthorized purpose.
• Not to attempt unauthorized access to any part of the Platform or related systems.
• Not to modify, reverse-engineer, or distribute any part of the Platform unless expressly permitted by law or written consent from Grippie.

You also agree to comply with all applicable local, state, national, and international laws (“Applicable Laws”) while using our Services.

4. User Responsibilities & Indemnity

You are solely responsible for all User Content submitted through your account. You represent that:

• Your Content does not infringe any third-party rights or violate any laws.
• You have all necessary permissions to use and share any data uploaded to Grippie.
• Your Content was not generated by bots or automated scripts.

You agree to indemnify and hold Grippie and its affiliates harmless from any claims, liabilities, losses, or expenses resulting from your breach of these Terms.

5. Intellectual Property Rights

All intellectual property rights, including but not limited to trademarks, copyrights, designs, and software associated with the Platform and our Content, are owned solely by Grippie or its licensors.

You may not use, copy, reproduce, modify, or distribute any part of the Platform or its Content without prior written consent.

By uploading any User Content, you grant Grippie a perpetual, royalty-free, non-exclusive license to use, display, reproduce, and distribute your content for platform functionality, research, analytics, and third-party API integrations.

Grippie may include content or links from third-party vendors or services. We are not responsible for the availability, accuracy, or legality of such content or services.

Your use of third-party websites or services is governed by their respective terms and policies. We do not endorse or take responsibility for any third-party advertisements or promotions appearing on our Platform.

7. Free Trials and Subscription Fees

Grippie may offer a one-week free trial, subject to eligibility. After the trial period, your chosen subscription plan will be billed automatically via your selected payment method unless canceled before the trial ends.

• All fees are non-refundable, including partial usage periods.
• We reserve the right to modify pricing or service plans at any time with prior notice.

8. Privacy Policy

Grippie is committed to protecting your privacy. Our use of your personal and business data is governed by our Privacy Policy, which is an integral part of these Terms.

By using Grippie, you acknowledge and accept the practices outlined in our Privacy Policy.

9. Limitation of Liability & Disclaimer

• Grippie disclaims all implied warranties, including fitness for a particular purpose, accuracy, or availability.
• Grippie shall not be liable for any indirect, incidental, or consequential damages including, but not limited to, loss of profits, data, or business interruption.
• Grippie’s total liability for any claim under these Terms shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.
